1. Acceptance of these terms
By creating an account or using Unsited Leads (the “Service”), you agree to these Terms of Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these terms. If you do not agree, do not use the Service.
2. The service
Unsited Leads helps you discover local-business leads from publicly available sources and assess the quality of those businesses’ websites. We may add, change, or remove features over time. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.
3. Accounts
You are responsible for your account and for keeping your password secure. You must provide accurate information and promptly update it as needed. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.
4. Credits and payment
The Service uses a prepaid credit system. Credits are purchased through our payment processor, Stripe, and are consumed when you generate leads or run website audits, at the rates shown in the app at the time of use.
- Credit purchases are final and non-refundable except where required by law.
- Credits have no cash value, cannot be transferred or sold, and expire 12 months after purchase.
- Prices and credit rates may change; changes apply to future purchases, not credits you already hold.
- You are responsible for any taxes associated with your use of the Service.
5. Acceptable use
You agree to use the Service lawfully and responsibly. You will not:
- Use lead data in violation of any applicable law, including anti-spam, telemarketing, “do not call,” and data-protection rules (such as the TCPA, CAN-SPAM, CASL, GDPR, or similar laws where they apply);
- Resell or redistribute the Service itself, or attempt to replicate it through automated scraping of our platform;
- Use the Service to harass, defraud, or harm any person or business;
- Interfere with or disrupt the Service, its infrastructure, or other users;
- Attempt to bypass the credit system, security controls, or access restrictions;
- Violate the terms of any third-party source, including Google’s terms, when using data obtained through the Service.
6. Lead data accuracy
Lead and audit data is gathered from third-party and publicly available sources and is provided “as is.” We do not guarantee that any business detail, contact method, email address, score, or website assessment is accurate, complete, or current. You should verify information before relying on it.
7. Intellectual property
The Service, including its software, design, and branding, is owned by Unsited and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. The lead data you generate is yours to use for your own business purposes, subject to these terms and applicable law.
8. Third-party services
The Service relies on third parties such as Google Maps Platform, Stripe, Supabase, and Vercel. Your use of features that depend on them may also be subject to their terms. We are not responsible for third-party services we do not control.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNSITED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold Unsited harmless from any claims, damages, or expenses arising from your use of the Service, your lead-outreach activities, or your violation of these terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these terms or use the Service in a way that risks harm to us, other users, or third parties. Upon termination, your right to use the Service ends; sections that by their nature should survive (such as payment, disclaimers, and liability limits) will survive.
13. Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated terms.
14. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York, unless applicable law requires otherwise.
